Partnership and Shareholder Agreements and Articles of Association
Whether embarking on a new business venture or simply looking to better regulate an existing one, it is important that all the stakeholders in the business know and understand how to regulate their relationships with each other and with the business. They should have a clear set of rules setting out how they will manage the business going forwards, including cooperation over forward planning and budgeting, transferring shares to others, admitting new shareholders or partners, finance etc.
All these headings are covered in an appropriately drawn agreement between the participators (a Partnership or Shareholders Agreement) and will also be set out in the Articles of Association of the Company – perhaps better described as its set of rules or constitution. Many businesses run into difficulty when owners disagree and do not have any written agreement or document that would otherwise offer a solution to resolve a problem. In some cases, this can even lead to a business failing.
